PREAMBLE

We, the undersigned, wishing to secure for ourselves the pleasures and benefits of an association of persons commonly interested in Amateur Radio and in providing emergency communications services to the Church of Jesus Christ of Latter-Day Saints (LDS Church) including its Emergency Response Radio System (ERRS), constitute ourselves the Northeast Mercury Amateur Radio Association (hereafter known as the club) and enact this constitution as our governing law. It shall be our purpose to further the exchange of information and cooperation between members; to promote radio knowledge, fraternalism and individual operating efficiency; to conduct programs and activities to advance use of Amateur Radio for emergency communications for units of the LDS Church; and to provide training, support and encouragement for those who would serve as emergency communications specialists for units of the North America Northeast Area of the LDS Church.

ARTICLE I - MEMBERSHIP

All persons interested in providing emergency communication services for the LDS Church by Amateur Radio shall be elegible for membership. Membership shall be by application and election upon such terms as the club shall provide in its By-laws.

ARTICLE II - OFFICERS AND BOARD OF DIRECTORS

1. The Board of Directors shall consist of six Board members elected for a period of six years (initially, two Board members will be elected for a two year term, two for a four year term and two for a six year term).

2. The officers of the club shall be President, Vice President, Secretary and Treasurer (the offices of Secretary and Treasurer may be held by the same member).

3. The Board shall elect the officers, who may or may not be members of the board. The officers shall be elected for a term of two years (initially the President shall be elected for a term of three years).

4. Vacancies occuring between elections must be filled by special election of the Board of Directors.

5. Officers and Board Members must be members of the club in good standing, must hold at least a General Class Amateur Radio License and be members of the LDS Church.

ARTICLE III - DUTIES OF OFFICERS

1. The President shall preside at all meetings of the club, and conduct them according to the rules adopted. He/she shall enforce due observance of this Constitution and By-laws; decide all questions of order; sign all official documents adopted by the club, and perform all other duties pertaining to the office of President.

2. The Vice President shall assume all the duties of the President in his/her absence. In addition he/she shall organize club activities, plan and recommend contests for operating benefits, and advance club interest and activity as approved by the club.

3. The Secretary shall keep a record of the proceedings of all meetings, keep a roll of members, submit membership applications, carry on all correspondence, read communications at each meeting, and mail written meeting notices to each member. At the expiration of his/her term he/she shall turn over all items belonging to the club to his/her successor.

4. The Treasurer shall receive and receipt for all monies paid to the club; keep an accurate account of all monies received and expended; pay no bills without propers authorization (by the club, by the Board of Directors or by the officers constituting a business committee). At the end of his/her term he/she shall turn over everything in his/her possession belonging to the club to his/her successor.

ARTICLE IV - MEETINGS

The By-laws shall provide for regular and special meetings of the club and by the Board of Directors. At Board meetings a minimum of one-half of the Board members shall constitute a quorum for the transaction of business. At membership meetings, a minimum of one-third of the membership shall likewise constitute a quorum for the transaction of business but because of the wide geographical extent of the club, proxies assigned to the Board of Directors may be voted at membership meetings. Robert's Rules of Order shall govern proceedings.

ARTICLE V - DUES

The club, by majority of those present and proxies assigned to the Board of Directors at any regular meeting of the club, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business of the organization.

ARTICLE VI - AMENDMENTS

This constitution or the By-laws may be ammended by a two-thirds vote of the total membership. Proposals for ammendments shall be submitted in writing at a regular meeting of the club or the Board of Directors and shall be voted on at the next following regular meeting, provided all members have been notified by mail of the intent to amend the constitution and/or By-laws at said meeting.

BY-LAWS

1. SECRETARY. It shall be the duty of the Secretary to keep the constitution and By-laws of the club and have the same with him/her at every meeting. He/she shall note all amendments, changes and additions of the constitution and shall communicate them to the membership in writing.

2. MEMBERSHIP. Full membership is open to licensed amateurs. Associate membership is open to all other interested persons. Full membership includes all club privileges including the right to vote for club officers and to serve as a club officer except that club officers must also be members of a unit of the North American Northeast area of the LDS Church. Associate membership includes all club privileges except for the right to hold office and vote for club officers. Applications for membership shall be submitted at regular club meetings or Directors meeting, either in person or by mail.

3. MEETINGS

The club shall conduct a weekly SSB voice radio net on an amateur band designated for use by General class operators. Overall direction of the net shall be by a Net Manager appointed by the President. The Net Manager shall appoint weekly Net Control Stations. The club shall have a Bi-Annual Meeting at a time and place determined by the Board. The Board of Directors shall meet annually as scheduled by the Board. Any other meetings of the club shall be scheduled by the Board.

4. DUES

The Board will establish dues for membership. These dues are to cover the cost of membership mailing and general operating expense.

5. ARRL AFFILIATION

The club will make every reasonable effort to maintain active membership as an ARRL Affiliated Club. The President shall be responsible for completing and submitting the ARRL Annual Report
